Vendor Agreement

Effective as of July 15, 2025

This Vendor Agreement (“Agreement”) governs the submission and management of software listings on HotSoftwares.com (“Platform”), operated by Hot Softwares, a company registered in the State of Texas, United States.

By submitting a software listing, you (“Vendor”) agree to comply with this Agreement and all applicable laws.

1. Eligibility

• Vendors must be legally authorized to represent and submit content on behalf of their company.

• Vendors must provide accurate and current contact and business information.

2. Vendor Responsibilities

• Vendors are solely responsible for:

  • Providing accurate, lawful, and up-to-date information about their software.

  • Ensuring submitted content does not infringe on any third-party intellectual property or violate any laws.

  • Responding promptly to inquiries from HotSoftwares or users.

• Vendors agree not to submit:

  • False, misleading, or deceptive information.

  • Content containing malware, spam, or harmful code.

3. Rights of Hot Softwares

• We may:

  • Review, edit, or reject any software submission for any reason.

  • Remove any listing that violates this Agreement or our Terms of Service.

  • Display badges such as “Editor’s Choice” or “Top Rated” based on editorial evaluation at our sole discretion.

• Submission of a listing does not guarantee visibility or promotion.

4. Paid Listings & Featured Placements (If Applicable)

• Vendors may opt to purchase featured placements or other promotional services.

• Payment terms for such services will be specified in a separate agreement or invoice.

• Featured placement does not influence editorial reviews or ratings.

5. Intellectual Property

• Vendors retain ownership of their trademarks, logos, and content but grant HotSoftwares a worldwide, non-exclusive, royalty-free license to:

  • Display and distribute the listing on the Platform.

  • Use vendor-provided logos and screenshots for promotional purposes.

6. Warranties & Representations

The Vendor represents and warrants that:

• They have the legal right to submit the listing.

• All information provided is accurate and not misleading.

• The software complies with applicable laws and regulations.

7. Limitation of Liability

HotSoftwares is not liable for:

• Vendor content inaccuracies or user reliance on listings.

• Any indirect, incidental, or consequential damages arising from this Agreement.

8. Indemnification

Vendors agree to indemnify and hold harmless HotSoftwares and its affiliates from any claims, damages, or expenses arising from:

• Vendor-submitted content.

• Violation of this Agreement or applicable laws.

9. Termination

• HotSoftwares reserves the right to remove any vendor listing at its discretion without notice.

• Vendors may request removal of their listing by contacting [email protected].

10. Governing Law

This Agreement is governed by the laws of the United States, State of Texas. Disputes shall be resolved in the courts of Texas.
